TERMS OF SALE  
  • The sale of this property positively sells at ABSOLUTE AUCTION.
  • METHOD OF SALE:  Property will be offered in 8 Multi Parcel Tracts in any combination of the individual tracts.  Upon the conclusion of offering each tract separately, the property will be offered in any combination of the tracts and as one unit that would include all 8 tracts.  Multiple rounds of bidding will occur.  The property will sell in the manner that nets the most money to the Seller.
  • 20% Earnest Deposit required day of auction with the signing of a Lashley Land and Recreational Brokers, Inc. purchase agreement.
  • Cash or Certified Funds due upon closing, which is to be on or before Friday, December 14, 2012.
  • Real Estate Taxes - Seller to pay all 2012 and prior year's real estate taxes.
  • Title - Seller to convey title by warranty deed.  A title insurance commitment showing good merchantable title will be provided prior to Auction.  The cost of title insurance and escrow closing fees to be divided equally between buyer and seller.
  • Full possession will be given upon closing, which is to be on or before Friday, December 14, 2012 subject to existing lease that ends December 31, 2012.
  • Minerals - All oil, gas and mineral rights owned by Sellers will pass to Buyers.
  • FSA Bases – Seller shall transfer FSA Bases to Buyer by “Land Owner Designation”
  • Parcels 1 & 2 Stock Water Agreement – there is a stock tank in Parcel 1 that is supplied water by a submersible well in Parcel 2. If Parcels 1 & 2 sell separately, an agreement between Buyers of each Parcel will be signed agreeing to continue the supply of water for the life of the existing well.
  • Surveys – Parcels 1, 2, 6, 7 & 8 will require surveys if sold separately. The cost of such surveys shall be split evenly between Buyers of the adjoining Parcels.
  • Ranch Operation – Seller had previously operated the ranch in a rotational grazing manner. Much of the electric division fencing has not been maintained but does show on some maps. Buyer should not assume all fences are intact. Most all of the stock wells are set up to be ran by generator or with solar pumps of which will not be provided by Seller.
  • Inspection - The sale is based upon the Buyer’s personal inspection of the property including the improvements and investigation of any statements made about the property to Buyer’s own satisfaction, and Buyer does not rely upon any representation or warranties of condition made by the Seller or Seller’s Agent.   • School Section 36 – If Parcels 2, 3, 4, 5 & 6 sell to multiple Buyers, after the deeded property has been sold a “premium” auction of the lease on School Section 36-T18N-R45W will be conducted. The premium price will be in addition to the cost of improvements that the seller owns. This auction will be limited to the Buyers of the listed parcels only. If parcels sell to one Buyer the lease on School Section 36 will automatically be assigned to that single Buyer.
